SmartScale logo Home Privacy Terms Refund Login Terms of Service Last updated: April 26, 2026 Effective date: April 26, 2026 These Terms of Service ("Terms") form a binding agreement between you ("you," "Customer") and Gangsta Geeks LLC, doing business as Smartscale Consulting ("Smartscale Consulting," "we," "us," or "our"), governing your access to and use of smartscaleconsult.com, our SaaS platform, done-for-you services, monthly retainers, courses, and any other products or services we offer (collectively, the "Services"). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms. If you do not agree, do not use the Services. 1. Eligibility and Accounts You must be at least 18 years old and able to form a binding contract to use the Services. You must provide accurate, current information when creating an account and keep it updated. You are responsible for all activity under your account and for safeguarding your credentials. 2. Subscriptions, Services, and Renewals SaaS subscription. Our SaaS subscription is offered on a monthly, auto-renewing basis. Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. Done-for-you services and monthly retainers. These are described in your separate order form, statement of work, or scope of work. Unless otherwise stated, retainers renew monthly and continue until cancelled. Courses. Courses are sold for a one-time fee unless otherwise specified. Access duration is described on the course's sales page. 3. Billing and Payment Authorization. When you provide a payment method, you authorize us (and our payment processor) to charge that method for all fees associated with your subscription, services, or purchases, including taxes. Cancellation. You may cancel your monthly subscription or retainer at any time through your client portal or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Services through the end of the period for which you have paid. Failed payments. If a payment fails, we may suspend or terminate your access until payment is received. You remain responsible for all fees incurred prior to cancellation. Price changes. We may change our prices on prospective renewals with at least 30 days' prior notice by email or in-product notification. 4. Refunds Refunds are governed by our Refund Policy, available at smartscaleconsult.com/refund-policy, which is incorporated into these Terms by reference. In short: a 14-day money-back guarantee applies to your initial purchase; renewals and partial billing periods are non-refundable. 5. Acceptable Use You agree not to: Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose. Send spam, unsolicited messages, or content that violates the recipient's local communication laws (including TCPA, CAN-SPAM, GDPR, CASL, and similar regimes). Upload, transmit, or distribute malware, viruses, or other harmful code. Reverse engineer, decompile, scrape (other than as expressly permitted), or attempt to gain unauthorized access to the Services or related systems. Resell or sublicense the Services except as expressly permitted by us in writing. Impersonate any person or entity, or misrepresent your affiliation with any person or entity. Use the Services in a manner that could damage, disable, overburden, or impair the Services. We may suspend or terminate accounts that violate these rules. 6. Customer Content "Customer Content" means any content you upload to or generate through the Services (contacts, messages, copy, media, etc.). You retain ownership of your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Customer Content as needed to provide the Services. You represent and warrant that you have all rights necessary to upload Customer Content and that it does not infringe any third party's rights or violate any law. 7. Intellectual Property We and our licensors own all right, title, and interest in and to the Services, including software, designs, templates, training materials, and trademarks. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during the term of your subscription. 8. Third-Party Services The Services may integrate with or link to third-party services (such as payment processors, email senders, advertising platforms). We are not responsible for those third-party services and your use of them is governed by their own terms and policies. 9. Disclaimers THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED. We do not guarantee specific business results, revenue, leads, or outcomes from your use of the Services. 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SMARTSCALE CONSULTING (OR GANGSTA GEEKS LLC) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). 11. Indemnification You agree to defend, indemnify, and hold harmless Smartscale Consulting, Gangsta Geeks LLC, and our officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your Customer Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right. 12. Termination You may terminate by cancelling your subscription as described in Section 3. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Services. Upon termination, your right to use the Services ends and we may delete your Customer Content after a reasonable retention window. Sections that by their nature should survive termination will survive. 13. Governing Law and Venue These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The exclusive venue for any dispute that is not subject to binding arbitration shall be the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts. 14. Changes to These Terms We may update these Terms from time to time. Material changes will be notified by email or in-product notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. 15. Miscellaneous These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver.
